Definitions

The Innerbody.com/Human Anatomy Online (also referred to hereafter as the “site,” “us,” “we,” or “our”) Advertising Agreement (referred to hereafter as “Agreement”) will use the following terms as defined below in the Agreement and in any future documentation or correspondence with the advertiser (also referred to hereafter as “you” or “your”):

Impression- A single page view generated by any end-user of the Site.

CPM- (Cost Per Thousand) the amount of money charged to you per thousand impressions of your ad.

Flat Rate- The amount of money paid to you per month, regardless of the number of impressions for the site.

Size- The size of an ad in pixels.

Ad Specifications

Each ad must be a .jpg or .gif file, and the content must be suitable in nature for any possible viewer of the site. Therefore, any ad placed on the site must not be in any way discriminatory with regard to religion, age, gender, race, ethnicity, or sexual orientation, and ads may not contain nudity or reference to adult material, alcohol, tobacco, or controlled substances of any kind (some exceptions may be made for certain prescription medications at our sole discretion).

Because of the layout of the site pages, only certain ad sizes will fit on the site, and placement of each ad is specific to its size. The price for Flat Rate ads is partially determined by the number of impressions per month the ad will receive, and this also varies by page.

Terms and Conditions

For (Company) , we will dedicate the (ad dimensions) size ad block on the (upper/right/lower) portion of the interior pages, excluding the index page and homepage (http://www.innerbody.com/index.html and http://www.innerbody.com/htm/body.html, respectively). The ad will remain on the site for (time) .

If we run a Flat Rate ad, the cost will be per month, and this fee will be prorated for (if partial month) by the number of days remaining in the month beginning the first full day the ad is published. Payment is due by (TBD). For payment of Flat Rate and CPM ads, please send a check to:

We will make every possible reasonable attempt to implement your ad by the second business day after the ad is received. However, you understand and agree that we are in no way liable for an ad's late implementation, or failure to implement the ad whatsoever. If technical issues or other events which we deem to be our fault prevent our prompt insertion of your ad, we will provide a proportional discount, the amount of which is at our sole discretion.

You will be invoiced for your payments in advance. However, you are solely responsible for your prompt payment. Our failure to invoice you on time or at all does not in any way lessen or waive your payment; nor does your not receiving an invoice. Payments received 7 business days late are subject to a 1.5% per month (18% per annum) late fee. Payments received in excess of 15 business days late are subject to a 5% per month (60% per annum) late fee. Rates are subject to change without notice; however any rate increases will not apply to your current rate as stated in this Agreement.

We reserve the right to cancel implementation or removal of your ad at any time for any reason. In such instances, we will refund your last payment the amount we deem proportional to the lost ad running time. You may cancel your agreement by giving at least 15 days written or email notice from the Date of Acceptance. Failure to give at last 15 days notice from the Date of Acceptance will result in a $50 cancellation fee.

You will indemnify and hold us harmless from any and all loss or expense arising from our publication of your ads, including but not limited to claims or libel suites, plagiarism, copyright infringements, and violation of rights of privacy. In addition, we will not be liable in any way for our failure to run your ad, in part or whole, for any reason.
